Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the “Terms”) govern your access to and use of the ShipHero platform and any associated applications, websites, APIs, and third-party integrations (collectively, the “Services”) provided by ShipHero (“ShipHero,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

License Grant

Subject to your compliance with these Terms, ShipHero grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes. We reserve all rights not expressly granted to you.

Acceptable Use

You agree not to:

  • Use the Services in violation of any applicable law or regulation.
  • Reverse engineer, decompile, or attempt to derive the source code of the Services, except as permitted by law.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
  • Resell, sublicense, or otherwise commercially exploit the Services without our prior written consent.
  • Upload or transmit malicious code or use the Services to infringe the rights of others.

Third-Party Integrations

The Services let you connect third-party platforms such as accounting software (e.g. QuickBooks Online), e-commerce stores, and marketplaces. Your use of any third-party service is governed by that provider’s own terms and policies. You are responsible for maintaining the rights and credentials needed to connect those services, and you authorize ShipHero to access and exchange data with them on your behalf to deliver the features you enable. ShipHero is not responsible for the availability, accuracy, or practices of third-party services.

Your Data

You retain ownership of the data you submit to the Services. You grant ShipHero a limited license to host, process, and transmit that data as necessary to provide and improve the Services. Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

Intellectual Property

The Services, including all software, content, and trademarks, are owned by ShipHero or its licensors and are protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPHERO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we discontinue the Services. You may stop using the Services and disconnect any integration at any time. Provisions that by their nature should survive termination will survive.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
